$TSLA shareholders overwhelmingly voted in favor of the deal.
That's it. That's all. End of story.
Delaware Court's reasoning is highly biased and its decision is BS activism.

Courts shouldn’t second-guess the *business judgments* of boards to maximize shareholder value. Yet that’s exactly what Tesla’s board did here - successfully.
